INTERCOMPANY SERVICE AND DATA SHARING AGREEMENT
This Intercompany Service and Data Sharing Agreement (the “Agreement”) is entered into this 1st day of October, 2026, by and between:
- PROVYDE-A-RYDE.ORG, a Florida not-for-profit corporation with tax-exempt status under Section 501(c)(3) of the Internal Revenue Code (hereinafter referred to as the “Nonprofit”), and
- MYRYDE.APP, a Florida for-profit corporation (hereinafter referred to as the “Vendor”).
RECITALS
WHEREAS, the Nonprofit’s exclusive charitable mission is to subsidize transportation for low-income families, seniors, and individuals receiving Medicaid and SNAP! benefits to ensure access to education, employment, healthcare, and nutrition; and
WHEREAS, the Vendor operates a proprietary transportation technology platform capable of routing, dispatching, and managing non-emergency transportation services; and
WHEREAS, the Nonprofit desires to retain the Vendor to provide subsidized rides to qualified beneficiaries, and the Vendor desires to provide such services under strict compliance with arm’s length commercial standards.
NOW, THEREFORE, the parties agree as follows:
1. SCOPE OF SERVICES
- 1.01 Ride Fulfillment: The Vendor agrees to utilize its proprietary technology platform, drivers, and network to provide safe, reliable, non-emergency transportation to individuals designated by the Nonprofit as eligible recipients (Medicaid/SNAP! beneficiaries).
- 1.02 Service Standards: The Vendor shall maintain commercial transportation standards, including valid driver background checks, vehicle safety inspections, and commercial auto liability insurance policies that meet or exceed Florida state requirements.
2. PRICING STRATEGY & SAFE HARBOR BENCHMARKING
- 2.01 Medicaid Broker Pricing Matrix: The Nonprofit shall compensate the Vendor for subsidized rides at an amount strictly equal to the regional non-emergency medical transportation (NEMT) insurance and Medicaid rideshare broker rate tiers currently utilized in the local market.
- 2.02 Cap on Fees: In no event shall the rates charged to the Nonprofit exceed the lowest public or commercial rate offered by the Vendor to its standard for-profit retail clients.
- 2.03 Periodic Audit: The independent, disinterested members of the Nonprofit’s Board of Directors retain the right to audit the Vendor’s billing logs quarterly to certify that no excess financial benefit or private inurement has occurred.
3. DATA SHARING, PRIVACY & COMPLIANCE
- 3.01 Permissible Data Scope: The Nonprofit shall securely transmit to the Vendor only the minimal user data required to fulfill the ride requests (e.g., recipient name, pick-up/drop-off addresses, telephone number, and accessibility requirements).
- 3.02 Medicaid & Benefit Status Privacy: The Vendor explicitly agrees never to sell, lease, monetize, or use the recipient’s Medicaid, SNAP!, or low-income verification status for commercial marketing or profiling purposes outside of directly routing the subsidized ride.
- 3.03 HIPAA & Confidentiality: To the extent that the data shared includes protected health information (PHI) related to medical appointments, both parties agree to handle such data in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and applicable Florida privacy laws.
4. TERM AND TERMINATION
- 4.01 Term: This Agreement shall begin on the effective date and continue for a term of one (5) years, automatically renewing unless reviewed by the independent Board.
- 4.02 Termination for Conflict Resolution: The independent, disinterested directors of the Nonprofit may terminate this contract immediately and without penalty if it is determined by legal counsel or the IRS that the structural relationship between the Nonprofit and the Vendor threatens the Nonprofit’s 501(c)(3) status.
5. REVENUE SEPARATION & EXCLUSIONS
- 5.01 Independent Entities: The parties acknowledge that the Nonprofit and the Vendor are separate legal entities. Charitable contributions made to the Nonprofit are the sole property of the Nonprofit and shall only be transferred to the Vendor as direct, fee-for-service invoice payments for rides successfully completed.
